Your advertising supports rising and aspiring artists and charities chosen by artists and fans. When you place an ad on gimmesound.com, you agree to the GIMMESOUND.COM SPONSOR TERMS AND CONDITIONS (see below).

• When you create an Ad Campaign, you specify the amount you want to place in your Account Balance for that Campaign. We recommend that you fund your Campaign for one month.
• You can use your Account Balance to place one or more Ads within your Campaign.
• You can set a separate Budget for each Ad in your Campaign. This is called the Ad Budget (we recommend a Monthly Budget). Each Ad Budget you set is deducted from your Account Balance.
• For each Ad, you also select the type of Ad (e.g., Banner, Box or Text), Start & End Dates, etc. -- and you upload any necessary images.
• Each Ad will start serving almost immediately after you complete the required information for that Ad.
• Each time your Ad shows on a Web page or in an email counts as one impression.
• Each impression costs $0.05 USD. That means your Account Balance is reduced by $0.05 for each impression (that is, every time your ad shows).
• For each Ad, we will never charge you more than the amount you set as the Ad Budget for that ad.
• PLEASE NOTE: All payments must be in U.S. Dollars (USD).

• Sponsors may request a refund of their remaining Available Balance at any time.
• If you want a refund, please complete our Sponsor Refund Request Form (here).
• As soon as we receive the Sponsor Refund Request Form, the Company will begin to process your request.
• The entire refund process may take three to four weeks. We will send you a confirmation email when we've completed processing your refund, although it can take another five to ten business days before you receive your refund check in the mail.

When you Register to become a gimmesound.com Sponsor on gimmesound.com (the "Site"), you:

grant to Legal Music, LLC ("the Company") a non-exclusive worldwide perpetual License for the Term of this Agreement to stream, serve, list, exhibit and otherwise display the advertising or promotional content of any kind provided by you for use of any kind in connection with the Site (the "Sponsor Content") only on the Site;

acknowledge and agree that you will post Sponsor Content and pay Company for such postings according to Company's current Sponsor Payment Plan;

represent and warrant that (a) you have all rights necessary to grant Legal Music the License and enter to this Agreement; (b) that nothing in the Sponsor Content violates any national, state or local law or regulation of any kind, nor violates the rights of any third parties in any jurisdiction, including without limitation, copyright, trademark, trade secret, privacy, publicity or other right; (c) that, if you are acting on behalf of any third party (e.g. as an advertising agency), that you are the authorized agent acting on behalf of and with the power to hereby bind a third party for which Sponsor advertises - a third party whose identity is clearly indicated in the Sponsor Content or otherwise identified by you in writing to Company; (d) that you have and will in the future enter only valid credit card information for your gimmesound.com Ad Account and that (e) this Agreement does not conflict with any other agreement or obligation by which Sponsor is bound;

represent and warrant that you will not upload, post, email, transmit or otherwise make available on the Site any Sponsor Content or other content which contains material that: (a) is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, or invasive of another's privacy, (b) promotes or advertises drugs or drug paraphernalia, cigarettes, prostitution, or alcohol in violation of any national, state, or local laws or (c) contains any virus, trap door, Trojan Horse, disabling device or remote control mechanism that might, or might be utilized to, impede the operation of the Site or its host server

acknowledge and agree that the Company has no liability for any violation of any third party's legal rights as a result of your uploading of the Sponsor Content, and you agree to indemnify the Company for any and all attorneys' fees and other expenses which may result from posting Sponsor Content;

acknowledge and agree that, upon your breach of any provision of this Agreement or upon receipt of a third party complaint regarding Sponsor Content you have uploaded, the Company may, for any reason, with or without notification to you and at the Company's sole discretion, remove from the Site any and all Sponsor Content that you have posted to the Site;

acknowledge and agree that the Company makes no warranty or representation whatsoever as to the fitness of the Site to distribute Sponsor Content or that any of the Sponsor Content will be distributed in any way;

acknowledge and agree that the Company SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES RESULTING FROM: (i) THE USE OF OR INABILITY TO USE THE SITE; (ii) UNAUTHORIZED ACCESS TO OR ALTERATION OF SPONSOR CONTENT; OR (iii) ANY OTHER MATTER RELATING TO THE SITE; and, finally,

acknowledge and agree that this Agreement (a) shall be governed by, and construed in accordance with, the laws of the State of Massachusetts, United States, applicable to contracts wholly made and wholly performed in that state; (b) shall constitute the entire agreement between the parties with respect to the subject matter hereof, regardless of and superseding any written, oral or implied agreements regarding the subject matter; and (c) may only be modified by a written amendment signed by both parties.
